§ 01Definitions
"Service" means the EasyLiveChat software-as-a-service platform, including the web dashboards, embeddable widget, public APIs, and any associated software made available by EasyLiveChat Labs B.V. ("EasyLiveChat"). "Workspace" means an isolated tenant within the Service controlled by you. "End-User" means any third party interacting with your Workspace.
§ 02Acceptance & eligibility
You must be at least 18 years of age and able to form a binding contract under applicable law. You agree to provide accurate registration information and to keep your account credentials confidential. You are responsible for all activity that occurs under your Workspace.
§ 03License & restrictions
Subject to your compliance with these Terms and timely payment of fees, EasyLiveChat grants you a worldwide, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during the term.
You agree not to:
- reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by mandatory law;
- resell, sublicense, time-share, or use the Service to operate a competing product;
- upload content that is unlawful, infringing, harassing, or designed to circumvent security controls;
- send unsolicited bulk messaging, spam, or content prohibited by the channel provider's own terms (e.g. Meta WhatsApp commerce policy);
- exceed published rate limits, or otherwise interfere with the integrity of the Service.
§ 04Fees, billing, taxes
Fees are stated on the Pricing page and are billed in advance on a monthly or annual cycle. All fees are exclusive of taxes, which you are responsible for paying except where EasyLiveChat is required by law to collect. Late payments accrue interest at 1.5% per month or the statutory maximum, whichever is lower.
EasyLiveChat may change the published prices on 60 days' notice; any change takes effect at your next renewal.
§ 05Trials & beta features
EasyLiveChat may offer free trials of paid plans and may make certain features available on a beta or preview basis. Such features are provided as-is, may be modified or withdrawn at any time, and are excluded from our uptime SLA.
§ 06Your data, our data
You retain all rights to the data you upload or generate through the Service ("Customer Data"). You grant EasyLiveChat a non-exclusive, worldwide license to process Customer Data solely to provide and improve the Service in accordance with the DPA and the Privacy Policy.
EasyLiveChat retains all rights to the Service itself, including all underlying intellectual property. Feedback you provide may be used by EasyLiveChat without restriction.
§ 07Service level
EasyLiveChat will use commercially reasonable efforts to make the Service available consistent with the uptime commitment of your plan: 99.9% (Starter), 99.95% (Growth), 99.99% (Enterprise). Excluded events are scheduled maintenance (announced ≥ 72 hours in advance), force majeure, and disruptions originating outside EasyLiveChat's control.
Where we fall short of the committed uptime in a given calendar month, your sole remedy is a service credit applied to the following invoice, calculated per the SLA schedule provided with your order form.
§ 08Warranty disclaimer
Except as expressly stated, the Service is provided "as is" and "as available". EasyLiveChat disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
§ 09Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if advised of the possibility of such damages.
Each party's aggregate liability arising out of or relating to these Terms is limited to the fees paid by you to EasyLiveChat in the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot lawfully be excluded.
§ 10Term & termination
These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach that remains uncured 30 days after written notice. On termination your access ceases; on request within 30 days EasyLiveChat will provide a one-time export of Customer Data, after which it will be deleted from primary systems within 30 days and from backups within 35 days thereafter.
§ 11Governing law
These Terms are governed by the laws of the Netherlands, excluding its conflict-of-laws principles. The exclusive forum for disputes is the courts of Amsterdam, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
§ 12Miscellaneous
These Terms, together with the Privacy Policy and DPA, constitute the entire agreement between you and EasyLiveChat and supersede any prior agreement on the same subject. EasyLiveChat may update these Terms; material changes will be notified by email and take effect 30 days later. Provisions intended to survive termination (including warranty disclaimer, limitation of liability, governing law) will so survive.
